Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Stonebridge xHelm™ platform and related services provided by Stonebridge Cyber LLC ("Stonebridge Cyber," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Stonebridge xHelm™ platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Stonebridge xHelm™ is an AI-powered security operations platform that provides automated threat detection, investigation, compliance monitoring, and security orchestration capabilities. We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with reasonable notice.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

4. Subscription and Payment

Access to the Stonebridge xHelm™ platform requires a paid subscription. Fees are billed in advance on a monthly or annual basis as selected during enrollment. All fees are non-refundable except as required by law or as expressly stated in your subscription agreement. We reserve the right to change pricing with 30 days' notice.

5. Intellectual Property

All content, features, and functionality of the Stonebridge xHelm™ platform, including but not limited to software, text, graphics, logos, and trademarks, are the exclusive property of Stonebridge Cyber LLC and are protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of our platform without prior written consent.

6. Acceptable Use

You agree not to:

Use the platform for any unlawful purpose or in violation of any applicable laws
Attempt to gain unauthorized access to any systems or networks
Interfere with or disrupt the integrity or performance of the platform
Upload or transmit viruses, malware, or other harmful code
Use the platform to conduct vulnerability scanning against third-party systems without authorization
Resell, sublicense, or share account access without our written consent

7. Data Processing

You retain ownership of all data you submit to the platform. By using our services, you grant Stonebridge Cyber a limited license to process your data solely for the purpose of providing the services. We will process your data in accordance with our Privacy Policy and any applicable Data Processing Agreement.

8. Warranties and Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. STONEBRIDGE CYBER DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STONEBRIDGE CYBER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Stonebridge Cyber LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the platform, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the platform at any time for any reason, including breach of these Terms. Upon termination, your right to use the platform will immediately cease. You may request a copy of your data within 30 days of termination, after which we may delete it in accordance with our data retention policies.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

13. Changes to These Terms

We reserve the right to update these Terms at any time. We will provide notice of material changes by posting the revised Terms on our website and updating the effective date. Your continued use of the platform after changes are posted constitutes acceptance of the revised Terms.
